THIS AGREEMENT CONTAINS A RELEASE OF LIABILITY AND WAIVER OF CERTAIN RIGHTS. YOU ARE ADVISED TO READ THIS CAREFULLY BEFORE AGREEING TO ITS TERMS.
These Terms and Conditions ("Terms") form an agreement ("Agreement") between you, or, if you are entering into this Agreement on behalf of an entity or organization, that entity or organization ("you" and "your") and Sunny MF Money LLC ("Company," "us," or "we").
Sunny MF Money LLC provides users of the Site ("Users") with the opportunity to access and use information, data, and content ("Content"), as well as services, resources, and offerings ("Offerings") through scaleontime.com and other Company websites and subdomains (collectively the "Site"). The Company is willing to allow you to become a User of the Site, including the available Content and Offerings, if you agree to be bound by this Agreement.
PLEASE READ THIS AGREEMENT CAREFULLY. BY ACCESSING AND USING THE SITE, YOU AGREE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO COMPLY WITH AND BE BOUND BY THIS AGREEMENT.
THIS AGREEMENT CONTAINS PROVISIONS FOR MANDATORY BINDING ARBITRATION AND WAIVER OF JURY TRIALS, WHICH LIMIT YOUR RIGHTS TO BRING AN ACTION IN COURT. ALL CLAIMS AND DISPUTES MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS.
1. Scope
This Agreement governs your access to and use of the Site, including all Content and Offerings. This Agreement is the complete and exclusive understanding between the parties, and supersedes any prior oral or written proposal, agreement, or communication between you and Sunny MF Money LLC regarding your access to and use of the Site.
2. Who You Are
If you have entered into this Agreement on your own behalf, you are entering as an individual. If you have entered into this Agreement on behalf of an organization or entity, you represent and warrant that you have the authority to do so.
3. Modifications
Sunny MF Money LLC may, in its sole discretion, modify this Agreement from time to time. We will use commercially reasonable efforts to provide notice of any material modifications. Unless we make a change for legal or administrative reasons, any modification will be effective 5 days following posting of the modified version to the Site. Your continued access to the Site following that date constitutes your acceptance of the modified Agreement.
4. Right to Modify or Discontinue the Site
We reserve the right to modify or temporarily or permanently discontinue the Site, including any Content or Offerings, at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Site, Content, or Offerings.
5. Eligibility
The Site is for use by individuals 18 years of age and older. By entering into this Agreement and using the Site, you confirm that you are legally capable of entering into a binding agreement and meet all eligibility requirements. If you do not meet these requirements, you are not permitted to access or use the Site.
6. Your Account
As a User of the Site, you may be required to establish an account. Your account and credentials are personal in nature and may only be used by you. You may not transfer your account to someone else or provide your credentials to any third party. You are solely responsible for all use of the Site through your account.
7. Obligation to Provide Truthful Information
If you submit information to Sunny MF Money LLC through the Site, you agree that the information will be true, accurate, current, and complete, and you will promptly update your information to keep it accurate and current.
8. Access to the Site
Subject to your compliance with this Agreement, Sunny MF Money LLC will permit you to access the Site solely for your own personal or business use. Your right to access the Site is personal to you and you may not distribute, sell, resell, lend, loan, lease, license, sublicense, or transfer any of your rights to access or use the Site.
9. User Content
You are solely responsible for all content that you upload, provide, or make available through the Site ("User Content"). You will ensure that all User Content does not violate this Agreement, the Sunny MF Money LLC Privacy Policy, or any applicable laws.
10. Site Content
Any Content made available through the Site by Sunny MF Money LLC is for informational purposes only. Sunny MF Money LLC is not responsible for any errors or omissions in any Site Content. You are solely responsible for verifying the accuracy and completeness of all Site Content.
11. Restrictions
You may only use the Site for lawful purposes as expressly provided in this Agreement. You will not: (1) copy, duplicate, or replicate any Content outside of the Site; (2) reverse engineer, disassemble, or decompile the Site; (3) use the Site in any unlawful manner; (4) use automated scripts to collect information from the Site; (5) interfere with or disrupt the Site or servers connected to the Site; or (6) take any action that restricts or inhibits any other user from using or enjoying the Site.
12. Ownership
Sunny MF Money LLC retains all right, title, and interest, including all intellectual property rights, in and to the Site, including all Offerings, Site Content, software, databases, and other technology used to operate the Site ("Company Property"). You receive no ownership interest in the Company Property.
13. SMS and Promotional Communications
By providing your phone number and checking the consent box on our registration forms, you agree to receive promotional text messages from Sunny MF Money LLC. Message and data rates may apply. Message frequency varies. Reply STOP to stop receiving messages. Reply HELP for help. We will not spam, rent, or sell your information. This agreement is not a condition of any purchase.
14. Disclaimer of Warranties
THE SITE, INCLUDING ALL CONTENT AND OFFERINGS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUNNY MF MONEY LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUNNY MF MONEY LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE.
16. Indemnification
You agree to defend, indemnify, and hold harmless Sunny MF Money LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Site.
17. Dispute Resolution
Any dispute arising from or relating to this Agreement or the Site shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Sheridan, Wyoming. You waive any right to a jury trial and any right to participate in a class action lawsuit. This Agreement shall be governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.
